LEGAL PRACTICE
Ms. Thanaprakit is one of the firm’s principals. Ms. Thanaprakit represents a major German company in the Thailand aspects of the sale of its subsidiary to a U.S. company, Dupont. She represents a group of Thai companies in their joint ventures with their foreign partners in acquisition of a mutual fund company, later known as Aberdeen Assets Management. She also represented foreign investment funds, Transpac Capital and BancBoston Capital in the investments in Thai internet and software firm and she also represents foreign partners in a wide range of joint ventures with Thai companies. She also represents Maxim Integrated Products (Thailand) Co., Ltd., the Thai subsidiary of US integrated-circuit companies from its formation in 2000 until now.

Furthermore, Ms. Thanaprakit also handles all types of real estate transactions, legal due diligence for complex development projects such as Amanpuri, carry out title searches and title document review for acquisition of raw and semi-developed land, and industrial land, and carries out all aspects of purchase and sale of hotels and villa development projects, individual villas in Laemson Resort Project, Andara and other high-end residential villas for buyers in Phuket, condominium units including registration thereof with Thai governmental authority, lease transactions, registration of easements, negotiation of transactional documentation for development projects, including construction contract, service agreements and property management agreements. She also represents Thai developers and foreign villa owners.

Her experience includes representation developer in drafting and negotiation modern comprehensive development agreements, construction contracts, representation of landlords and tenants in the negotiation of leases of office building, warehouse, factory leases, raw land for commercial use, long-term ground leases, representation of foreign investors in acquisitions of Thai companies by purchase of assets, purchase of shares and subscription of newly issued shares, mergers and comprehensive shareholders agreements under applicable Thai law.

In addition to the above, Ms. Thanaprakit also handles BOI applications and modifications of BOI privileges, employment contracts, separation agreements and termination of employment and wrongful termination cases, negotiation of various types of commercial contracts, representing lenders in project financing and other loan transactions and various administrative cases against the Thai Land Department.
