Tsar F. Mulvana
Tsar Mulvana is a dedicated real estate attorney with more than twenty years of experience in real estate law, ten years of which were in Thailand. He has been a member of the California Bar since 1986 and has worked in Thailand since 1997. Tsar Mulvana founded the firm in 2000 and the firm today employs ten legal professionals.
Mr. Mulvana is a native of Bakersfield, California. After studying in Germany for several years, he graduated from the University of California, Berkeley with high honors in History and German.
He studied law and received his Juris Doctor at New York University in 1985.
After graduation from law school, Mr. Mulvana passed the California bar exam in 1986 and worked as a transactional associate at the law firm of Crosby Heafey Roach & May until 1987. He then opened his own practice in the San Francisco Bay Area specializing in real estate transactions and real estate litigation.
From October 1989 until July 1994, he served as Counsel and then as General Counsel for Pacific Union Co., a diversified real estate company headquartered in San Francisco with thirty-five affiliates. His responsibilities included acquisitions, development, construction, marketing, brokerage, leasing, sales, property management and operations.
As Counsel and General Counsel for Pacific Union he wrote thousands of agreements and worked on real estate deals of all types, including acquisition, development and management of hotels and resorts in Napa Valley, Big Sur, San Francisco, New Orleans, the Bahamas, Aruba, Anguilla, British Virgin Islands and Baja California.
He worked on the acquisition and development of the 20,000 acre Rancho San Carlos, the Santa Lucia Preserve in Carmel, California, mixed-use developments, shopping centers, a large gift and jewelry mart, high-end residential developments connected with resorts and golf courses, industrial parks, single-family planned developments, condo projects, apartment complexes, shopping centers, restaurants, property management companies, real estate brokerage, loan brokerage companies, equity placement and investment consulting companies, record storage companies, software development companies, technology escrow company and Napa wineries and vineyards.
While at Pacific Union, his projects included a proposed joint venture between Pacific Union Co. and Adrian Zecha, developer of the Amanpuri Resort in Phuket, for a large mixed-use marina project on Phuket's east coast in the early 1990s.
In 1996, Mr. Mulvana relocated to Thailand. After nine months of formal Thai language training at Bangkok's Union School, Mr. Mulvana joined the firm of Seri Manop Ltd. in Bangkok as a senior transactional consultant where he represented Hoechst AG, Herberts GmbH, Spies Hecker GmbH, Thai Farmers Bank PCL, Nakornthon Bank PCL, publicly-held Thai construction company PAE (Thailand), Dupont Performance Coatings, a number of large local electronics manufacturers and assemblers, foreign and local internet commerce companies and a number of insolvent property developers, among other clients.
In December 2000, Mr. Mulvana, Jack de Angeli and Nithinan Thanaprakit founded Mulvana, de Angeli & Associates Ltd.
Mr. Mulvana has advised clients on numerous investment transactions, mergers and acquisitions, restructurings and loan transactions for investment banks, private equity, and other investors in various industries, including electronics manufacturing, financial services, aquaculture, food processing, internet commerce, software development and localization services. Mr. Mulvana was lead advisor to Aberdeen Asset Management and several large Thai insurers in their takeover of Schroders Mutual Fund. The firm has advised Maxim Integrated Products and Aman Resorts and has represented BancBoston and Transpac Capital concerning their investments in Thailand.
Mr. Mulvana has also advised on many complex real estate transactions including acquisition of hotel resort development sites and raw and semi-improved land for villa estates, condominium, commercial and industrial projects and related due diligence; acquisition of villas, leasehold for villa sites; development of villas, villa estates, hotel resorts, condominium projects; long term ground leases for hotel resort development; industrial factory warehouse and distribution center, commercial, office, shopping center retail and restaurant leases, long and short- term villa leases; project sales and long term leasing documentation for villa estates and condominiums; villa, villa estate and management agreement, development of common area schemes for villa estates, formation of villa owners associations for ownership and operations of villa estate common areas and facilities and related matters; access and utility easements, road maintenance and other common area agreements for residential commercial and industrial projects; zoning, building, and environmental restrictions; multi-tenant leases, co-tenancy agreements and other agreement for joint ownership of leasehold improvement; agreements and engagement letters for surveyors, civil engineers, architects, land planners, interior designers, marketing and brokerage agents and other service providers; construction contracts for villas, condominium projects and factory installation, project management and construction management agreements; loan agreements, mortgages, pledge agreement, security agreements, inter creditor agreements, shareholder and other loan agreements; subscription agreements, shareholder agreements and joint venture agreements and other transactional documents for hotel real estate developments; tax planning and transactional tax analysis.
Mr. Mulvana has advised on real estate transactions for or involving Dupont Performance Coatings, Maxim Integrated Products, Siam Natural Resources, Maha Resorts, Aman Resorts, Laemson Resort, Trisara Villa Estate, Royal Phuket Marina and Yamu Estate.
Mr. Mulvana is fluent in Thai and German and has a working knowledge of French.
